These Terms of Use form an agreement between Dejavu Capital Sdn. Bhd. (“Dejavu Capital”, “we”, “us” or “our”) and the person or organisation accessing Dejavu Stay. By creating an account, accepting an invitation or using the service, you agree to these Terms and confirm that you have authority to bind the relevant organisation.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering into this agreement. If you use Dejavu Stay for a Company, property owner or accommodation operator, you represent that you are authorised to act for it and that the account information you provide is accurate.
2. Accounts and security
- Keep login credentials confidential and use an individual account rather than sharing credentials.
- Maintain accurate account, Company and contact information.
- Give team members only the access they require and promptly remove access that is no longer authorised.
- Notify us promptly of suspected unauthorised access, compromised credentials or misuse.
- You are responsible for activity performed through your account except to the extent caused by our breach of these Terms or applicable law.
3. What Dejavu Stay provides
Dejavu Stay provides software for property operations, including calendars, reservations, booking requests, communications, housekeeping, maintenance, reports and related features. Features may be described as early access, preview, planned, coming soon or V2 vision. Those labels are part of the service description and do not promise that an unreleased feature is available.
Unless expressly agreed in writing, Dejavu Capital is not the property owner, accommodation provider, travel agent, estate agent, insurer, accountant, lawyer, trustee or employer of a cleaner or contractor. Operational recommendations and AI-assisted output are support tools; authorised users remain responsible for decisions and actions.
4. Owner and operator responsibilities
- Hold all licences, consents, permissions and authority required to offer and manage the property.
- Ensure property, availability, pricing, guest, tax, safety and listing information is accurate and lawful.
- Honour confirmed stays, refunds and guest commitments and comply with consumer, tourism, housing, tax and other applicable requirements.
- Provide all notices and lawful grounds required before entering guest, tenant, employee or contractor personal data.
- Review imported calendar events, AI-prepared content and operational recommendations before relying on or sending them.
- Maintain appropriate insurance, property safety and emergency procedures.
5. Booking channels and calendar feeds
Third-party channels and iCalendar feeds may be delayed, incomplete, unavailable or lack pricing, guest identity and revenue information. Checkout dates in iCalendar are generally end-exclusive. Dejavu Stay cannot control a third party’s availability, rate limits, data quality or terms. You must verify material booking and availability decisions against the authoritative source.
6. Payments, booking requests and refunds
Where payment features are enabled, payment processing is provided with third-party providers and is subject to their terms. Transaction charges, platform fees, refund treatment and the amount payable will be disclosed in the relevant booking or checkout flow. Unless the displayed transaction terms state otherwise, a full refund reverses the amount collected for that transaction, while a partial refund may not reverse the platform fee.
You are responsible for payout details, lawful charges, taxes, refund decisions, chargebacks and disputes relating to your accommodation. Dejavu Stay operational or finance views are not a substitute for accounting records or professional advice.
7. Subscriptions and renewal
If you purchase a paid plan, the price, unit count, billing period and included features shown at checkout or in the applicable order form are part of these Terms. Subscriptions are prepaid. Unless the offer says otherwise, the signup month may be free and paid service begins only after payment for the following billing period is collected.
Annual plans may include the discount displayed at purchase and are charged upfront. Subscription fees are non-refundable and non-prorated except where required by law or expressly stated otherwise. Auto-renewal is shown before purchase and can be turned on or off in Account controls. Turning it off prevents the next renewal but does not refund or shorten the current paid period.
8. Acceptable use
- Do not use the service unlawfully, fraudulently, deceptively or to infringe another person’s rights.
- Do not upload malicious code, bypass access controls, probe vulnerabilities or interfere with service operation.
- Do not scrape, copy, resell, sublicense, reverse engineer or create derivative commercial services from Dejavu Stay except where applicable law expressly permits it.
- Do not send spam, harassment, unlawful discrimination or misleading guest communications.
- Do not upload identity documents, card data or highly sensitive information except through a feature expressly designed and enabled for that purpose.
9. Your content and permissions
You retain rights in information and content you lawfully submit. You grant Dejavu Capital a non-exclusive, worldwide, limited licence to host, copy, process, transmit and display that content only as reasonably necessary to provide, secure, support and improve the service and comply with law. You represent that you have the rights and authority required to provide it.
10. Dejavu Stay intellectual property
Dejavu Stay software, interfaces, workflows, designs, text, graphics, documentation and branding are owned by or licensed to Dejavu Capital. These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the service during the applicable access period. No ownership rights are transferred.
11. Third-party services
Third-party services, including booking channels, payment providers, messaging services, maps and identity services, are governed by their own terms and privacy notices. We are not responsible for third-party acts, omissions, outages, policy changes or content, although we will use reasonable care in selecting providers we engage directly.
12. Availability, changes and beta features
We may maintain, change, suspend or discontinue features to improve security, comply with law or operate the service. We do not guarantee uninterrupted or error-free availability. Early-access, demonstration and beta features may change materially and should not be used as the sole source for safety-critical, legal, financial or time-sensitive decisions.
13. Warranties and liability
To the maximum extent permitted by law, the service is provided on an “as available” basis without implied warranties that can lawfully be excluded. Nothing in these Terms excludes liability that cannot legally be excluded, including liability for fraud or any mandatory consumer right.
To the maximum extent permitted by law, Dejavu Capital is not liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill, data or opportunity, or loss caused by third-party channels, inaccurate owner-supplied data or decisions made without appropriate verification. Any aggregate liability that may lawfully be limited will not exceed the fees paid to Dejavu Capital for the affected service during the twelve months preceding the event giving rise to the claim.
14. Suspension and termination
We may restrict or suspend access where reasonably necessary for security, suspected fraud, material breach, non-payment, legal compliance or protection of users and third parties. You may stop using the service and disable renewal. On termination, access ends and data is handled under the Privacy Notice, applicable retention requirements and any agreed export process.
15. Governing law and changes
These Terms are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction, subject to any mandatory law or agreed dispute process that applies. We may update these Terms for legal, security or service changes. We will give reasonable notice of material changes and request renewed acceptance where appropriate.
